Risk Disclosure Statement

Prior to engaging in any trading activity or executing transactions through the Services offered by PayX, it is essential that you familiarize yourself with the inherent risks involved. The following sections outline the principal categories of risk you may encounter. This listing is not exhaustive, nor does the order imply relative severity. We strongly recommend that you review each item thoroughly and assess whether participating in digital asset trading aligns with your personal financial situation.

If any aspect of this disclosure is unclear, we advise you to consult a qualified independent financial adviser before proceeding.

Unless otherwise specified, capitalized terms used in this document carry the definitions established in our Terms of Use.

1. Market and Trading Risks

By accessing and utilizing the Services, you acknowledge that all trading activity is undertaken at your own risk. Losses incurred when trading digital asset pairs can be significant. You should therefore evaluate carefully whether such activity is appropriate given your objectives, experience, and available capital. Key considerations include:

  • You could lose the entirety of the assets deposited into your PayX Account. Digital asset valuations are subject to rapid and unpredictable fluctuations driven by factors such as fraudulent activity, market manipulation, protocol-level changes, security incidents (see Section 4), discontinuation of platform support, or events beyond the control of PayX.
  • Market conditions may at times render it impractical or impossible to execute buy or sell orders for a given digital asset -- for instance, during periods of low liquidity. PayX assumes no liability for the transferability, liquidity, or availability of any digital asset listed on the platform.
  • PayX retains the right to suspend or permanently discontinue trading support for any digital asset at its sole discretion and without advance notice. In such cases, you may be unable to withdraw the affected assets before support ends, which could result in their permanent loss from your Account.

This summary cannot capture every risk or nuance associated with digital asset trading. You bear sole responsibility for understanding and accepting all risks tied to your transactions, and for absorbing any resulting losses.

2. Technology and Connectivity Risks

You acknowledge that internet-based trading platforms carry inherent technological risks, including but not limited to hardware malfunctions, software defects, and network outages. PayX shall not be held liable for any communication failures, latency, data corruption, or service interruptions you experience while using the platform, regardless of their cause.

Should any order, trade, or transfer be executed on the basis of a Manifest Error -- whether or not any party benefits from it -- PayX reserves the right, at its sole discretion and acting in good faith, to: (a) reverse, correct, or cancel the affected transaction; (b) treat a trade as void from inception; or (c) adjust the terms of a trade to reflect what would have occurred absent the error. You accept that such corrective action may affect your position and that you shall have no claim against PayX arising from it.

3. Security Threats

The Services and user Accounts, along with any assets held within them, may be targeted by malicious actors seeking to compromise their security, integrity, or availability. You acknowledge and agree that PayX shall bear no responsibility or liability for losses arising from such incidents.

4. Risks Inherent to Digital Assets

  • Every digital asset -- together with the software, networks, consensus mechanisms, and other foundational technology (collectively, the "Underlying Infrastructure") used to create, transfer, or manage it -- may be susceptible to security breaches or operational disruptions ("Attacks"), including those leveraging disproportionate computational resources to undermine normal network operations.
  • The Underlying Infrastructure of any digital asset may undergo unplanned alterations resulting from protocol upgrades, built-in governance mechanisms, or external Attacks. Such changes may include, without limitation, blockchain forks or transaction rollbacks.
  • Digital assets may be irrecoverably lost, duplicated in error, or devalued as a consequence of forks, rollbacks, Attacks, or modifications to the asset's core properties or operational behavior.
  • PayX is under no obligation to support secondary chains, derivative protocols, or alternative Underlying Infrastructure spawned by forks or enhancements of a supported digital asset. Furthermore, digital assets transmitted to an incorrect, malformed, or incompatible address may be permanently unrecoverable.

5. Legal and Regulatory Risks

The legal classification of digital assets remains uncertain or evolving across many jurisdictions. Predicting future regulatory developments -- including new legislation, revised rules, or enforcement actions -- is inherently difficult. Digital assets may be deemed securities or otherwise fall under regulatory oversight in certain territories. PayX may restrict, suspend, or terminate Services for specific digital assets or in specific regions should governmental action render continued operation unlawful or commercially unfeasible. You warrant that you will not access the Services in violation of any laws applicable in your jurisdiction.

6. Counterparty Risks

PayX exercises no control over and accepts no liability for the quality, legality, delivery, or any other attribute of digital assets exchanged between platform users. We do not guarantee that any counterparty will fulfill their side of a transaction or that they are authorized to participate. No compensation fund or insurance arrangement exists to cover losses you may incur due to counterparty default or insolvency.

The risks outlined above may lead to partial or total loss of your digital assets, inability to access or transfer holdings, loss of trading capability, forfeiture of associated benefits or utilities, and other forms of financial harm. You accept and agree that PayX shall bear no liability whatsoever for any such outcomes. By using our Services, you irrevocably waive and release all claims -- whether presently known or unknown -- against PayX, its directors, officers, employees, agents, and contractors in connection with any risk described herein.

You represent and warrant that you possess: (a) the technical competence to evaluate the security, design, and operation of any digital asset you choose to acquire or trade; and (b) sufficient knowledge, experience, and access to professional advice to independently assess the merits and risks of each transaction. You assume full responsibility for your trading decisions and for conducting your own due diligence. You should refrain from trading digital assets unless your financial position allows you to absorb a complete loss of value.

The inclusion of any digital asset within the Services offered by PayX does not constitute an endorsement, guarantee, or warranty regarding the asset's integrity, security, or Underlying Infrastructure. All risks associated with holding and trading digital assets remain exclusively yours to bear, irrespective of PayX's decision to list or delist any particular asset.
